CONFIDENTIALITY STATEMENT

At EROADMAP DIGITAL SOLUTIONS, safeguarding the confidentiality of client information and maintaining robust Information Security Management are integral aspects of our commitment. The following outlines the fundamental components of our Confidentiality Statement, applicable to all our clients.

  1. Non-disclosure to Third Parties:
    • We pledge not to disclose any information related to our clients to third parties.
  2. Non-use of Client Identity for Marketing:
    • We refrain from using our client’s identity or brand for marketing purposes without explicit written consent.
  3. Non-sharing of Client Information with Prospective Clients:
    • We never provide our client’s name or information to other prospective clients for marketing purposes.
  4. Non-sale or Disclosure of Client List:
    • We do not sell or disclose our client list or client information to third parties.

CONFIDENTIALITY AGREEMENT

It is hereby acknowledged and agreed that clients of EROADMAP DIGITAL SOLUTIONS may provide certain information that is of a confidential nature. To ensure the protection of such information and to uphold confidentiality as required under patent and trade secret laws, the following terms and conditions are agreed upon:

  1. Description of Confidential Information:
    • The confidential information to be disclosed may include but is not limited to invention descriptions, technical and business information, proprietary ideas, patentable ideas, trade secrets, drawings, illustrations, patent searches, existing or contemplated products and services, research and development, production, costs, profit and margin information, finances, financial projections, customers, clients, marketing, and current or future business plans and models.
  2. Limited Disclosure:
    • EROADMAP DIGITAL SOLUTIONS shall restrict the disclosure of confidential information within its organization to individuals (directors, officers, partners, members, employees, and independent contractors) having a legitimate need to know. Disclosure to third parties will only occur if required by law.
  3. Exceptions to Confidentiality:
    • This Agreement does not bind EROADMAP DIGITAL SOLUTIONS with respect to confidential information that was already in its possession, becomes public knowledge, is received from a third party without a duty of confidentiality, is disclosed without obligation, is public knowledge, or is independently derived by EROADMAP DIGITAL SOLUTIONS.
  4. Entire Agreement:
    • This Agreement constitutes the entire understanding between EROADMAP DIGITAL SOLUTIONS and the client regarding the disclosure of confidential information. Any modifications or additions to this Agreement must be in writing and signed by both parties.
  5. Severability:
    • If any provision of this Agreement is found unenforceable, the remainder shall be enforced to the fullest extent possible, and the unenforceable provision shall be deemed modified to the limited extent required for overall enforcement.
  6. Responsibility for Unauthorized Activities:
    • Clients are solely responsible for any consequences, losses, or damages incurred by EROADMAP DIGITAL SOLUTIONS due to unauthorized activities conducted by them. Such activities may result in criminal or civil liability.

By availing of our services, clients agree to abide by the terms of this Confidentiality Statement and Confidentiality Agreement.
